THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE SUITABLE FOR YOUR NEEDS, UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. Modxy INC MAKES NO REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Modxy INC SHALL NOT BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF REVENUE, PROFIT, OR DATA RESULTING FROM YOUR USE OF THE SITE. FOR THE PURPOSES OF THIS SECTION, "Modxy INC" SHALL BE DEFINED TO INCLUDE THE COMPANY’S EMPLOYEES, AGENTS, OWNERS, DIRECTORS, OFFICERS, AFFILIATES, AND THIRD PARTIES PROVIDING SERVICES TO YOU THROUGH THE COMPANY. <br/>THE TOTAL AGGREGATE LIABILITY OF Modxy INC FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OF THE SITE SHALL BE LIMITED BY THE FOLLOWING LIABILITY CAP:

• TOTAL LIABILITY SHALL NOT EXCEED $100.00 USD OR THE TOTAL FEES PAID BY THE USER TO THE SITE IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS LESS.

Modxy Inc retains all rights, title, and interest in and to the technologies, platforms, logos, and creative assets associated with Modxy Inc, TradePiks Journal, and Modxy Technologi. This reservation of rights includes source code, algorithms, and any derivative works. Any form of data scraping, data mining, or unauthorized reproduction of content by any process is strictly prohibited.

These Terms of Service and any disputes arising from your use of Modxy.com shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

8. Dispute Resolution: Binding Arbitration and Class Action Waiver

8.1 Binding Arbitration YOU AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION RATHER THAN IN A COURT OF LAW. THE ARBITRATION SHALL BE CONDUCTED BY A SINGLE ARBITRATOR.

8.2 Class Action Waiver ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS. YOU EXPRESSLY WAIVE ANY RIGHT TO COMMENCE OR PARTICIPATE IN ANY PURPORTED CLASS ACTION, MASS ACTION, OR REPRESENTATIVE PROCEEDING AGAINST Modxy INC.

9. Severability and No Agency

If any provision of these Terms is found by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the parties agree that the provision will be modified to the least extent necessary to make it enforceable, and all other provisions of this Agreement will remain in full force and effect. No agency, partnership, joint venture, or franchise relationship is intended or created by these Terms. Neither party has the authority to bind the other in any respect whatsoever.
